Preamble
We, the stewards of Ciudad de Luz 13:20, establish this DAO Constitution to uphold our sacred mission: to regenerate land, empower community, and honor the sacred connection between people and nature. This DAO exists to co-govern the ecological sanctuary and spiritual settlement of Ciudad de Luz 13:20 through ethical, transparent, and regenerative principles.Preamble

This DAO exists to co-govern the ecological sanctuary and spiritual settlement of Ciudad de Luz 13:20 through ethical, transparent, and regenerative principles.
1. Purpose
The purpose of CDL1320 DAO is to:
Steward the land and spirit of Ciudad de Luz 13:20.
Distribute and manage the CDL1320 Coin, a land-backed token representing 1 m² of sacred territory.
Govern collectively all community decisions affecting development, conservation, economics, and cultural preservation.
Ensure the long-term sustainability, sovereignty, and alignment of all initiatives with natural law and spiritual harmony.
2. Membership
2.1 Token Holders
All holders of CDL1320 Coins are members of the DAO.
2.2 Roles
Conservation Investors: Non-resident members supporting regeneration and long-term stewardship.
Resident Builders: Onsite community members with governance priority in co-creation matters.
Guardians: A rotating council of elders and founders tasked with spiritual and ethical oversight.
2.3 Onboarding
New members must:
Acknowledge and accept the DAO Constitution
Submit a wallet address
Optionally nominate a backup/recovery guardian
3. Governance Process
3.1 Decision-Making
Proposals can be submitted by any member holding at least 50 tokens.
Proposals must be live for voting for a minimum of 7 days.
A quorum of 10% token-weighted votes is required.
A majority of 60% is required for passage unless otherwise stated.

DAO partnerships

Emergency recovery measures
3.3 Voting Mechanism
Voting will occur on a decentralized platform (e.g., Snapshot or Gnosis Safe), with tokens used for vote weighting.
4. Treasury Management
4.1 Multi-Signature Control
Funds are held in a multi-signature wallet with at least 3 of 5 signers required to approve transactions.
4.2 Budgeting
All major expenses must be proposed and voted on.
Operating budgets may be pre-approved quarterly.
4.3 Transparency
Monthly public reports on income, expenses, and reserve status.
Yearly audit by a DAO-approved reviewer.
5. Token Policy
5.1 Total Supply
CDL1320 Coin is capped at 1,000,000 tokens.
5.2 Allocation
65%: Conservation investors
25%: Resident-builder community
10%: DAO reserve, rewards, development
5.3 Vesting & Restrictions
Resident tokens may have 12-24 month vesting
Tokens inactive for 3+ years may be reviewed for stewardship reclamation

6. Ethical & Spiritual Oversight
6.1 Guardian Council
A 7-member Council of Guardians is elected every 2 years. Their role is to:
Hold the DAO to its spiritual mission
Intervene in cases of ethical violation or mission drift
Serve as neutral facilitators during DAO conflict
6.2 Conflict Resolution
Minor conflicts are mediated by a circle of peers
Major issues may be escalated to the Guardians, who may initiate a binding proposal
7. Amendments
This Constitution may be amended with a 75% majority vote and a 20% quorum.
